Founders Shares and REverse Vesting

Founders Shares and REverse Vesting

Postby afphang on Tue May 17, 2011 6:29 pm

Is it necessary to have founders shares on a reverse vesting basis? What taxes are we concerned with here? We understood the only tax founders would be keen to maintain would be the Entrepreneurs' Relief?

Shall be grateful for some quick advice.

No You can structure share vesting any way you want to suit you and the employees needs.

If you give shares to existing employees they may be subject to Income tax.

There approved share option schemes which help.

Ents' relief is good as an exit tax but you have to follow the rules or there may be tax charges going in as well as going out
