NI on director's fees from overseas company

NI on director's fees from overseas company

Hi,
I am a UK resident (though non-domiciled), who has just become a director of a offshore (non-EU) company (not controlled by me, only a very minority shareholder). I will be given a director's fees. Will I be liable to pay NI contributions and if yes at what rate? Will the offshore company be liable for anything (there are no witholding taxes)? They do not want to make any filings in the UK as they do not incur any other expenditure or draw any income in the UK and it would be an extra hassle and a significant expense for them to do so, whereas I need the income.
