Shares of the UkCo is held by an EU company. The EU company is going into liquidation and the liquidators propose to distribute the shares of the UKCo to the shareholders of the EU company during the liquidation as return of capital. The value of the shares is in excess of £1000.
I am told that no stamp duty will be payable on the transfer of assets to the shareholders during liquidation.
Can anyone please confirm this?
