Stamp duty on private company share issue

Postby DanT on Thu Oct 16, 2008 11:59 am

If a private limited company issues 50 shares (not subscriber) for a nominal value of £1 each is there any stamp duty payable?

Thanks

Stamp duty is only paid on the transfer of shares. What you are describing is the allotment of shares and that is not subject to stamp duty. If the person who gets the shares sells all or some of them to someone else then that is a transfer and duty is payable.
