The United States may tax both rental income and capital gains on sale of a main residence. It is prudent to take coordinated US and UK tax advice to minimise tax overall.

Do not overlook that as you a US citizen you are required to file annual US income tax returns and FBARs.

It would be prudent to coordinate your US, UK and Polish taxation so that you end up with an optimum position overall.

A 401(k) is not a pension plan under UK domestic law. Therefore when you sell investments within the plan the gains could be subject to UK CGT or income tax. You will in any case be subject to US tax on the lump sum withdrawal so unless there is a capital loss you might as well claim under the UK/US...

As you have correctly noted you will be creating a controlled foreign company, requiring filing of a Form 926 on incorporation plus annual filing of Form 5471 (in addition to existing FBAR and Form 8938 filing obligations). The additional US tax you refer to is indeed possible - but this depends on ...
